Preamble and purpose of the document
This document, titled “Urban Workspace Services Agreement, Terms of Use, House Rules, Access Policy, Liability & Damage Policy”, is the single framework applicable to all services provided by Urban Workspace S.R.L. and to all individuals or legal entities that purchase, use, access or benefit from such services.
This document combines the terms of use, house rules, access policy, liability policy, damage policy, payment terms, no-refund policy, data-processing rules and rules for the use of infrastructure made available by Urban Workspace.
This document is not a traditional wet-signed contract. It becomes legally binding by express or implied acceptance, including payment of an invoice, online payment, activation of access, use of a QR code, entry into a workspace or use of any Urban Workspace service.
Urban Workspace provides workspace, serviced office, managed workspace, coworking, meeting room, professional infrastructure and operational management services. The services do not constitute lease, tenancy, sublease or transfer of any real-estate possession or tenancy right.
Art. 1 - Operator and Beneficiary
The Operator is Urban Workspace S.R.L., identified as follows:
URBAN WORKSPACE S.R.L.
Tax ID: 54682128
EUID: ROONRC.J2026031513007
Trade Register No.: J2026031513007
Registered office: Str. Niagara no. 33, Sector 1, Bucharest, 012491, Romania
Official e-mail for notices: hello.urban.co@gmail.com
In this document, Urban Workspace S.R.L. may be referred to as “Urban Workspace”, the “Operator”, the “Provider” or the “Service Provider”.
The Beneficiary is any Romanian or foreign individual or legal entity that requests, purchases, pays for, uses or benefits from Urban Workspace services, directly or through representatives, employees, collaborators, subcontractors, guests or its own clients.
Where the services are purchased by a legal entity, that entity is responsible for all persons to whom it facilitates access, including employees, directors, representatives, collaborators, subcontractors, clients, suppliers, visitors and guests.
Art. 2 - Acceptance of this document
The Beneficiary fully, unconditionally and irrevocably accepts this document by any of the following actions: payment of an invoice issued by Urban Workspace; making an online payment; confirmation of an offer; activation of an account; receiving, using or presenting a QR code or any other access credential; entering a space operated by Urban Workspace; actual use of any service.
Acceptance of this document produces legal effects equivalent to signing a written agreement, to the extent permitted by law. The Beneficiary declares that it had the opportunity to read the document before purchasing or using the services.
If a person uses the services on behalf of a company, organisation or other entity, that person represents that it has authority to bind that entity. The entity remains bound by all obligations arising from this document.
Urban Workspace may update this document. The version applicable to a service is the version communicated, attached, accepted or in force on the date of purchase, confirmation, access activation or use of the service, as applicable.
Art. 3 - Definitions
“Workspace Services” means all services provided by Urban Workspace, including access to workspaces, serviced offices, shared spaces, meeting rooms, infrastructure, facilities, administration, operational services, access services and any related services.
“Space” means any location, room, office, work area, meeting room, common area or auxiliary area operated, administered, managed or made available through Urban Workspace.
“Serviced Office” means a professional space made available together with auxiliary services, utilities, furniture, infrastructure and operational administration, without transferring any tenancy right over the property.
“Access Credential” means any QR code, card, PIN code, application, link, digital token, electronic key or other technical access method approved by Urban Workspace.
“User” means any person who accesses or uses the space, whether as direct Beneficiary, employee, collaborator, guest, visitor, client or representative of the Beneficiary.
“Guest” or “Visitor” means any person who enters the space at the request, with the permission or for the benefit of the Beneficiary.
“Damage” means any material loss, cost, loss, deterioration, destruction, missing item, defect, penalty, fine, sanction, expense, legal cost or operational cost caused directly or indirectly by the Beneficiary or by persons for whom the Beneficiary is responsible.
Art. 4 - Legal nature of the services
Urban Workspace provides integrated professional workspace management, workspace hosting, serviced office, coworking, meeting room, operational administration and professional infrastructure services.
The services do not represent a lease agreement, tenancy agreement, sublease, assignment of real-estate use, right of possession, tenancy right, real right or exclusive right over any real estate.
The Beneficiary does not acquire any ownership, possession, tenancy use, real-estate enforceability, tenancy continuity or exclusivity over any space, except for a limited contractual right of access to the services confirmed by offer, invoice, order, subscription or reservation.
The Beneficiary may not register, invoke or assert against Urban Workspace, property owners, building managers or third parties any tenancy right or any right derived from laws applicable to leases.
The main element of the relationship between the parties is the provision of services, not the provision of real estate as such.
Art. 5 - Urban Workspace right to operate spaces
Urban Workspace may provide the services in spaces owned by it, leased by Urban Workspace, administered by Urban Workspace, managed under management contracts, operated under usage, partnership or commercial operation agreements or used under any other lawful contractual right.
The Beneficiary expressly accepts that Urban Workspace is not required to own the space where the services are provided. Urban Workspace’s right to provide services may derive from any valid legal relationship with the owner, holder of a use right, administrator or partner of the location.
Urban Workspace may change, reorganise, temporarily close, relocate or replace the space allocated to the Beneficiary with an equivalent or superior space when operational, technical, commercial, safety or availability reasons require it.
Relocation to an equivalent or superior space does not constitute contractual breach and does not entitle the Beneficiary to a price reduction, termination with refund or damages, except as expressly required by mandatory law.
Art. 6 - Offer, invoice and included services
The specific services, duration, fee, location, number of users, type of access, time intervals, included facilities and any specific commercial terms are set out in the offer, invoice, order, reservation, subscription, written confirmation or electronic communication.
Unless otherwise provided, the services include only the facilities expressly mentioned. Any equipment, customisation, additional services, catering, event, special technical support, extended access, storage or use beyond normal limits may be charged separately.
The invoice issued by Urban Workspace together with this document forms the contractual basis of the relationship between the parties. Payment of the invoice constitutes full acceptance of the services and applicable terms.
If there are differences between the offer and this document, the offer or invoice prevails only in relation to the specific commercial elements, while this document remains applicable to all other legal and operational matters.
Art. 7 - Access policy and credentials
Access to spaces is permitted only through methods authorised by Urban Workspace, including QR code, application, card, PIN, electronic key, nominal confirmation or another approved method.
Access credentials are personal, individual, non-transferable, revocable and may be used only by the person for whom they were issued. Transferring, lending, copying, photographing, distributing or using credentials by other persons is prohibited.
Urban Workspace may use third-party platforms or suppliers for issuing and managing access, including technology platforms such as Thia.work or similar solutions. The Beneficiary accepts that the operation of such systems may depend on external technical services.
Urban Workspace may immediately suspend or revoke access, without refund, in case of non-payment, breach of rules, reasonable suspicion of illegal activity, security risk, aggressive behaviour, abusive use, sharing credentials or causing harm to the space or other users.
The Beneficiary is responsible for ensuring that all persons for whom it requests access know and comply with this document.
Art. 8 - General house rules
The Beneficiary and users must use the spaces in a lawful, civilised, responsible, professional manner and in line with their purpose as office, work, meeting, professional activity and approved event spaces.
Any abusive, violent, aggressive, discriminatory, harassing, threatening, vulgar, disruptive behaviour or behaviour affecting comfort, safety, image or proper functioning of the space is prohibited.
The Beneficiary must keep the spaces clean and orderly, use furniture and equipment according to their purpose, comply with displayed instructions and not block access routes, emergency exits, hallways, restrooms or common areas.
A low noise level must be maintained in work areas. For long calls, confidential discussions, video conferences or meetings that may disturb others, the Beneficiary must use dedicated areas, where available.
The Beneficiary may not modify, move, dismantle, glue, drill, paint, mark or intervene on furniture, walls, installations, equipment or technical systems without Urban Workspace’s express approval.
Art. 9 - Health, safety, fire protection and emergencies
The Beneficiary and users must comply with all rules regarding health and safety, fire prevention, evacuation, use of installations and instructions communicated by Urban Workspace, owners, building managers or authorities.
Introducing flammable, toxic, explosive, radioactive, dangerous or illegal materials, weapons, prohibited substances or equipment that may endanger persons, property, installations or the building is prohibited.
The Beneficiary must immediately notify Urban Workspace of any incident, defect, risk, accident, leak, fire, suspicious smell, breakdown, unauthorised access or situation that may affect the safety of the space.
In case of emergency, the Beneficiary must follow the instructions of the personnel, building manager or authorities and cooperate to limit the effects of the incident.
Art. 10 - Internet, technology and IT systems
Internet, Wi-Fi, ethernet or other technology services made available in the spaces are, unless otherwise agreed, shared networks intended for ordinary professional use.
Urban Workspace does not guarantee dedicated technical isolation, individual VLAN, customised firewall, network-level end-to-end encryption, permanent minimum speeds or uninterrupted availability of internet or telecommunications services.
The Beneficiary is solely responsible for the security of its own devices, accounts, data, passwords, connections, applications, backups and protection measures, including VPN, firewall, encryption, updates and internal security policies.
Compromising the network, unauthorised scanning, cyber-attacks, unauthorised access, cryptocurrency mining, malware distribution, traffic interception, intentional network overload or use of infrastructure for illegal activities is prohibited.
Art. 11 - Visitors, guests, employees and subcontractors
Visitors, guests, employees, collaborators, subcontractors, clients and suppliers of the Beneficiary may access the spaces only in compliance with Urban Workspace rules and, where applicable, with prior approval of the Operator.
The Beneficiary is fully, jointly and indivisibly liable for all actions, omissions, damages, breaches and costs caused by the persons to whom it facilitates access.
Any damage caused by such persons shall be deemed, in relation to Urban Workspace, to have been caused by the Beneficiary. The Beneficiary may not rely on the fact that the person who caused the damage is no longer an employee, collaborator, subcontractor, client or guest at the date when damages are invoiced.
Urban Workspace may require any person to immediately leave the space if they breach this document, affect safety, cause discomfort or if there is a reasonable suspicion of risk.
Art. 12 - Consumption, smoking, pets and conduct in the spaces
Smoking conventional cigarettes is prohibited indoors. Vaping or use of electronic cigarettes is permitted only if Urban Workspace expressly allows it in a designated area and only without disturbing other persons.
Alcohol consumption is permitted only during events expressly approved by Urban Workspace. Being present in the space under the influence of substances that may affect behaviour, safety or the activity of other users is prohibited.
Pets may be allowed only at Urban Workspace’s discretion and only subject to the communicated conditions. The pet owner is fully responsible for hygiene, noise, safety and any damage caused.
Strong-smelling food, excessive use of perfume, unhygienic behaviour or any conduct affecting the comfort of other users is prohibited.
Art. 13 - Meeting rooms, events, catering and additional services
Meeting rooms, dedicated event areas, special equipment and additional services may be used only based on a reservation, approval or separate billing when required by Urban Workspace.
The Beneficiary must respect the booked intervals and vacate the spaces on time, in clean and functional condition. Exceeding the booked interval may generate additional costs and may lead to access suspension.
Catering, private events, filming, public activities, audio-video recordings, temporary branding, installations or interventions in the space require Urban Workspace’s prior approval.
The Beneficiary is responsible for all persons attending events and for all damages caused in connection with them.
Art. 14 - Damage, restoration and asset protection
The Beneficiary is fully liable for any damage, deterioration, destruction, loss, missing item, defect, abnormal wear, unauthorised intervention or reduction in value of the spaces, furniture, equipment, installations, access systems, IT systems, HVAC systems, finishes, floors, walls, ceilings, doors, windows, restrooms, common areas or goods located in the space.
The Beneficiary is liable for damage caused by itself and by all persons for whom it is responsible under this document, including employees, collaborators, subcontractors, clients, guests, visitors and suppliers.
The Beneficiary must bear all costs necessary to restore the space and affected goods to the condition existing before the damage, taking into account Urban Workspace’s operational and aesthetic standard.
Urban Workspace has the right to reasonably decide whether the damage shall be remedied by repair, cleaning, refurbishment, replacement, full restoration or purchase of an equivalent or superior item where the affected item cannot be brought back to proper condition.
The Beneficiary has no right to carry out repairs itself, unilaterally choose suppliers or impose remediation solutions without Urban Workspace’s written approval.
Art. 15 - Post-use inspection
Urban Workspace may inspect the spaces and goods used by the Beneficiary within 30 calendar days from termination of services, expiry of access, deactivation of credentials, handover of the space, departure of the Beneficiary or last actual use of the space.
The Beneficiary is also liable for hidden defects, damage not immediately observed, subsequently discovered missing items, unauthorised interventions discovered later or damages that become visible after the Beneficiary has left the space.
The Beneficiary’s departure from the space, expiry of a one-day access, termination of a subscription or absence of an active right of use does not limit or extinguish liability for damage caused earlier.
The obligation to pay damages survives termination of the contractual relationship and may be invoiced later, within the applicable statutory period.
Art. 16 - Determination of damage, invoicing and cost recovery
The value of damage may be determined based on invoices, estimates, price offers, technical reports, internal assessments, independent assessments, supplier findings, photographs, recordings, access logs, correspondence and any reasonable supporting documents.
The Beneficiary shall bear all costs associated with remediation, including repair, replacement, labour, materials, transport, installation, dismantling, cleaning, sanitisation, assessment, expert review, inspection, administration, loss of availability, legal costs, recovery costs and enforcement costs.
Urban Workspace may issue invoices for identified damages. Unless otherwise stated, an invoice for damages is due within 5 calendar days from delivery by e-mail.
The Beneficiary accepts that invoices, estimates, reports, assessments, photographs, access logs and other documents used by Urban Workspace constitute sufficient evidence of the existence and amount of damage until proven otherwise, without removing mandatory procedural rights provided by law.
Contesting an invoice does not automatically suspend the payment obligation, unless the parties agree otherwise in writing or a competent authority expressly orders suspension.
Art. 17 - Prohibited activities, illegal activities and international sanctions
The Beneficiary is solely responsible for the professional, commercial, personal or technical activities carried out in the spaces by it or by persons for whom it is responsible.
Urban Workspace does not control the economic, professional or personal activity of the Beneficiary and is not liable for the legality, content, object, clients, transactions, communications or operations of the Beneficiary.
Using the spaces for fraud, deception, fictitious activities, phishing, scams, money laundering, terrorist financing, human trafficking, trafficking in prohibited substances, illegal IT activities, GDPR violations, intellectual property infringements, tax evasion, illegal gambling, sanctioned activities or any act prohibited by applicable Romanian, European, United States or international law is prohibited.
The Beneficiary declares that it is not subject to international sanctions, does not act on behalf of sanctioned persons and will not use the spaces in connection with activities breaching national, European, United States or international sanctions regimes.
Urban Workspace may suspend access, terminate services, refuse any future use and cooperate with competent authorities if there are reasonable suspicions of illegal activities, without being required to refund paid amounts.
Art. 18 - Indemnification, defence and hold harmless
The Beneficiary shall defend, indemnify and hold harmless Urban Workspace, its directors, shareholders, employees, collaborators, suppliers, partners, owners of operated spaces and building managers from and against any complaint, claim, action, investigation, fine, sanction, damage, cost, loss, attorney fee or recovery expense generated directly or indirectly by the Beneficiary or by persons for whom the Beneficiary is responsible.
The indemnification obligation includes matters related to material damage, injury, illegal activities, contractual breaches, breaches of building rules, confidentiality breaches, data protection breaches, improper use of infrastructure and third-party claims.
Urban Workspace may request immediate reimbursement from the Beneficiary of any amounts paid or due as a result of the Beneficiary’s acts, including fines, sanctions, defence costs, attorney fees and compensation paid to third parties.
Art. 19 - Personal property, storage and insurance
The Beneficiary brings, keeps and uses its own property in the spaces at its own risk. Urban Workspace does not provide guarding, storage, custody, insurance or individual protection services for the Beneficiary’s property, unless expressly agreed otherwise in writing.
Urban Workspace is not liable for theft, loss, deterioration, destruction, unauthorised access, malfunction, data loss or any damage relating to the Beneficiary’s property, to the extent permitted by law.
The Beneficiary is responsible for obtaining its own insurance for property, equipment, civil liability, activity, employees, clients and operational risks.
Items left in the space after termination of services may be moved, stored, disposed of or returned according to a reasonable procedure, with related costs borne by the Beneficiary.
Art. 20 - Payments, due date and late-payment penalties
The Beneficiary must pay in full and on time all amounts due for services, damages, additional costs, penalties, remediation, optional services or any other amounts invoiced under this document.
Unless otherwise stated on the invoice, the general payment term is 5 calendar days from the invoice issue date or delivery by e-mail.
For any amount unpaid at due date, the Beneficiary owes late-payment penalties of 0.5% for each day of delay, calculated on the outstanding principal, provided that accumulated penalties shall not exceed the principal amount.
Application of penalties does not limit Urban Workspace’s right to recover all actual losses suffered, including legal costs, recovery costs, enforcement costs, administrative costs and losses caused by non-payment.
Urban Workspace may suspend access, refuse new services, withhold activation of credentials or terminate services in case of non-payment, without refunding amounts already due or used.
Art. 21 - No-refund policy
All Urban Workspace services are services involving allocation of capacity, availability, infrastructure and operational resources. After activation, confirmation, reservation or issuance of access, the services become non-refundable, to the extent permitted by law.
Performance starts at the first of the following moments: confirmation of the offer; issuance of an invoice for a determined service; activation of access; issuance or assignment of a QR code; confirmation of a reservation; blocking of a resource; activation of a subscription; actual use of the space.
Non-use, partial use, no-show, early departure or failure to use the full service does not entitle the Beneficiary to refund, roll-over, reduction, compensation or retroactive cancellation.
Urban Workspace may offer, exclusively as a commercial gesture and at its sole discretion, rescheduling, internal credit or alternative services. Such solution does not create a precedent and does not represent acknowledgement of a refund obligation.
Art. 22 - Data protection, electronic access and CCTV
Urban Workspace processes personal data for the purpose of providing services, invoicing, access administration, workspace security, operational communication, compliance with legal obligations and defence of its rights.
Data may include first name, last name, position, company, e-mail, phone number, billing data, access data, scan logs, usage intervals, communications, CCTV images where surveillance systems exist and other data necessary for providing the services.
Urban Workspace may use third-party providers for payments, invoicing, access, QR codes, maintenance, security, communications, accounting or IT services. Such providers may process data to the extent necessary to provide the services.
In locations under video surveillance, footage is used for security, protection of property, incident investigation, evidence of damage and cooperation with authorities. Access to footage is handled according to law.
The Beneficiary is responsible for informing its authorised persons, employees, collaborators, guests and visitors about the applicable rules and possible data processing in connection with access to and use of the spaces.
Art. 23 - Confidentiality
The parties may come into contact with commercial, technical, operational, financial or strategic information of the other party. Such information must be kept confidential and may not be used for purposes other than performance of the relationship between the parties.
The Beneficiary accepts that Urban Workspace spaces may include common areas, open-space areas, shared rooms and transit areas. Conversations held in such areas may be accidentally overheard by other persons.
The Beneficiary is responsible for protecting its own confidentiality, including by using rooms, dedicated areas, headphones, internal policies, encryption and confidentiality agreements with third parties.
Urban Workspace is not liable for accidental disclosure of information discussed or displayed by the Beneficiary in common areas, to the extent such disclosure results from the shared nature of the space.
Art. 24 - Limitation of Urban Workspace liability
To the maximum extent permitted by law, Urban Workspace’s total liability to the Beneficiary, regardless of legal basis, is limited to the value of services actually paid by the Beneficiary to Urban Workspace during the 30 days preceding the event giving rise to the claim.
Urban Workspace is not liable for indirect, incidental, special or punitive damages, loss of profit, commercial loss, loss of opportunity, data loss, reputational harm, business interruption or the Beneficiary’s inability to perform obligations towards third parties.
Urban Workspace does not guarantee uninterrupted operation of utilities, internet, electricity, water, HVAC, public infrastructure, third-party services or external technical platforms.
Any compensation granted, if due under law and this document, may not exceed the value of paid and unused services due to the exclusive fault of Urban Workspace.
Art. 25 - Suspension, termination and ban on use
Urban Workspace may immediately suspend or terminate services, without refund, in case of non-payment, breach of rules, illegal activities, security risk, damages, abusive behaviour, unauthorised use, sharing of credentials or harm to the interests of Urban Workspace or other users.
Urban Workspace may refuse future services to the Beneficiary or persons associated with it if there are serious breaches, incidents, non-payment, damages or reputational or operational risk.
Termination of services does not affect obligations arising earlier, including payment of invoices, penalties, damages, indemnities, recovery costs and confidentiality obligations.
Art. 26 - Force majeure and fortuitous events
Force majeure means any external, unforeseeable, absolutely insurmountable and unavoidable event preventing performance of contractual obligations without fault of the party invoking it.
Force majeure or similar situations may include natural disasters, major fires, floods, earthquakes, war, terrorist acts, riots, pandemics, epidemics, measures imposed by authorities, major utility outages, public infrastructure failures, extended unavailability of networks or essential services provided by third parties.
During the event, affected obligations are suspended. If the event continues for more than 30 days, either party may terminate the contractual relationship for the future without damages, except for obligations already due.
Art. 27 - Communications and notices
Communications to Urban Workspace shall be sent to hello.urban.co@gmail.com, unless Urban Workspace communicates another official address.
Communications to the Beneficiary may be sent to the e-mail address used for purchase, invoicing, reservation, account, commercial communication or any address later communicated by the Beneficiary.
Invoices, damage notices, access confirmations, operational communications and documents sent by e-mail are deemed validly communicated on the sending date, unless the law requires another form.
Art. 28 - Clauses surviving termination
The following obligations survive termination, expiry, suspension or access deactivation: payment of outstanding amounts, payment of damages, payment of penalties, indemnification obligations, confidentiality, data protection, liability for illegal activities, cost recovery, limitation of liability and applicable law.
Such obligations remain in force until fully performed or until the applicable statutory limitation periods expire.
Art. 29 - Governing law and jurisdiction
This document is governed exclusively by Romanian law.
The parties shall attempt to settle any dispute amicably. If amicable settlement is not possible, disputes shall be referred to the competent courts of Bucharest, Romania.
International Beneficiaries, including those from the United States of America, expressly accept the application of Romanian law and the jurisdiction of Romanian courts, to the extent permitted by applicable mandatory rules.
Art. 30 - Final provisions, language and entire agreement
This document represents the entire agreement between the parties with respect to Urban Workspace services and supersedes any prior oral or written understandings relating to the same subject matter, except for offers and invoices setting out specific commercial elements.
If any provision is declared null, invalid or unenforceable, the remaining provisions shall remain in force, and the affected provision shall be interpreted in the sense closest to the initial economic and legal intent, to the extent permitted by law.
Failure or delay by Urban Workspace to exercise a right does not constitute waiver of that right.
Electronic documents, electronic invoices, e-mail confirmations, access logs, QR codes, payment confirmations and electronic communications may produce legal effects and may be used as evidence, to the extent permitted by law.
The official and governing version of this document is the Romanian-language version. In case of any discrepancy between the Romanian version and any translation, the Romanian version shall prevail.
Final note
This document is valid without signature and stamp. Payment of an invoice, confirmation of an offer, activation of access, use of a QR code or use of the space confirms full acceptance of the terms and creates the legal relationship between the parties.
